The Cooler  can be fitted in by removing from M/B and putting on a vice and
bending it horizantly, Done, Atom processor runs very low heat.... The
Cobalt box has its own fans which is extra and it would help a lot. This M/B
does not need fans. 
The power supply will be removed for extra space, No need that M/B comes
with its own PS unit,
Yes back of the old Cobalt boxes needs cutting out as template of Zotac ION
back end, I need to get one of those small industrial cutters. 20X171mm slot
should be enough
The main problem fitting 2 SATA 3.5s fitting that can be avoided by using 2
inch Mobile H/Ds, Theys should be easly glued with sticky Velcro wich I used
in a PC before.
I did fit Mounting Positions by drilling holes and Super gluing the bits for
test and Lasted 2 years like that...
Rest of the holes left can be covered with sticky Metal tape for insulation.


Existing Mounting positions can be drilled out. 

What did I miss
It may be possible,

Fun idea ;)

The height of the standard 1U cobalts is 44.45mm on the outside, The height
of the cooler the board according to [1] is 36mm, which will make it an
extremely tight fit if at it fits at all adding the height of the casing,
the pcb, and the mounting positions needed to keep the soldering free.
Meaning, that you will probably have to replace the cooler on the cpu with
something slightly lower.

The power supply of the cobalts is not sufficient, you will need to use the
external 90W supply Zotac supplies.

Apart from that, you'll need "case modding/smashing" to make all connectors
accessible from the outside, and cleaning away the mounting position of one
of the Hd's to make the 171mmx171mm [3] board fit in (free space inside see
[2]) and make new mounting positions for the main board.
 
Usefull or cost effective ? probably not. Fun ? definitely :)
